For subsale properties, the SPA is typically negotiated between the vendor's and purchaser's solicitors, and must comply with the Housing Development (Control and Licensing) Act 1966 where applicable. Property Transfer Process in Johor

The transfer of property ownership in Johor involves several stages. After the SPA is signed and the deposit paid, the purchaser's lawyer conducts a title search at the Johor Land Office to verify the current state of the title. The lawyer then prepares the Memorandum of Transfer (Form 14A under the National Land Code), which is the instrument that effectually transfers legal ownership. Stamp duty is assessed by the Stamp Office based on the consideration stated in the SPA, with rates varying according to the purchase price. Once stamp duty is paid and the transfer document is adjudicated, the transfer is registered at the Land Office and a new title is issued in the purchaser's name.

For properties held under master titles that have not yet been subdivided or partitioned, the transfer is effected through a deed of assignment rather than a memorandum of transfer, and the registration occurs when the individual or strata title is eventually issued.
