The Situation
Maju Jaya Trading Sdn Bhd, a building materials supplier based in Johor Bahru, had been supplying construction materials to a property development company over an eighteen-month period. The developer had fallen behind on payments and owed RM800,000 across twelve outstanding invoices. Despite repeated requests, payment commitments that were never honoured, and two letters of demand, the developer continued to delay. The developer's project manager acknowledged the debt but blamed cash flow difficulties arising from slow property sales. Maju Jaya's cash flow was being severely strained, and the company was struggling to pay its own suppliers and meet payroll obligations. The Legal Challenge
Commercial debt recovery involving a substantial amount requires a strategic approach that balances speed, cost and effectiveness. The debtor was an active company with assets, but there was a risk that it could dispose of assets or become insolvent if legal action was delayed. Under the Contracts Act 1950 and the Limitation Act 1953, the creditor had a valid claim within the limitation period. The challenge was to obtain judgment quickly and then enforce it against the debtor's assets before they could be dissipated. Simply obtaining a judgment is not enough; the judgment must be enforced to actually recover the money. The debtor company was a private limited company, which meant that enforcement would be against the company's assets rather than its directors personally, unless personal guarantees had been given.
Our Approach
Our commercial litigation team pursued a multi-track strategy. We filed a writ of summons in the Johor Bahru Sessions Court claiming the full RM800,000 plus contractual interest and costs. Simultaneously, we conducted searches at the Companies Commission of Malaysia to identify the debtor company's assets, directors and registered charges. We discovered that the debtor owned two commercial properties in JB and held substantial sums in a particular bank. We applied for a Mareva injunction to freeze the debtor's assets up to the value of the claim, preventing disposal while the case proceeded. We also wrote to the debtor's bankers and were informed that no prior charges existed on the company's bank accounts. The combination of a swift court filing and the injunction application created significant pressure on the debtor.
The Outcome
The Mareva injunction was granted, freezing the debtor's bank accounts and restraining disposal of the commercial properties. The injunction had an immediate effect: the debtor's solicitors contacted us within a week to propose settlement. After negotiation, the debtor agreed to pay RM800,000 plus RM45,000 in interest and RM25,000 towards legal costs, totalling RM870,000. Payment was structured as RM400,000 within fourteen days and the balance within sixty days, secured by a charge on one of the commercial properties. The debtor made the initial payment on time and the balance was paid within the agreed period. The entire matter was resolved within four months of our engagement, far faster than a full trial would have taken. Maju Jaya's cash flow was restored and the company was able to resume normal operations.
